These terms apply to the genius.photos website, partnership applications and the partner portal. By using the website or portal, you agree to comply with these terms and applicable law.

If a specific order is subject to additional commercial terms, a quote, an invoice or a separate written agreement, those documents prevail on that specific issue.

Who may use the portal

The partner portal is intended for approved partners and other professional users we approve. We may accept, reject, suspend or close an account where needed for security, compliance or service quality.

You must keep your login details confidential and are responsible for activity carried out through your account.

Acceptable use

• Submit only accurate, up-to-date information, files and contact details that you may lawfully use.
• Do not upload content that infringes copyright, privacy rights, applicable law or third-party interests.
• Do not attempt to bypass security measures, disrupt the service, scrape data automatically or use the service for unlawful purposes.

Orders and partner responsibilities

Product options, prices, shipping terms, timelines and other order-specific conditions are shown in the portal, quote, invoice or another related document.

By submitting files and recipient or client data, you confirm that you hold all necessary rights, permissions and lawful basis to use and share them with us for fulfilment of the order.

Unless agreed otherwise in writing, you remain responsible for your communication with the end client, your final retail terms and your own legal compliance.

Intellectual property

The website, portal, design, software, text, graphics and Genius Photos branding belong to us or our licensors, except for content you upload.

You retain rights to the content you upload, but grant us the rights reasonably needed for previewing, producing, delivering and technically operating the service.

Availability and changes

We may change, update or temporarily suspend the website, portal, product specifications, pricing or features. We aim to keep information accurate, but errors or temporary inaccuracies may occur.

If public website information conflicts with partner portal information, the latest information shown in the portal or in the relevant commercial document applies to the specific order.

Limitation of liability

To the extent permitted by applicable law, we are not liable for indirect, incidental or consequential losses, loss of profit, data or business opportunity arising from the use of the website or portal.

Nothing in these terms excludes or limits liability where such exclusion or limitation is not permitted by applicable law.

Governing law and disputes

These terms are governed by the laws of the Republic of Lithuania, except where mandatory European Union or other applicable laws require otherwise.
